Amended Health and Human Services Council Bylaws
Article I – Purpose and Membership
Section 1.1. The Health and Human Services Council (the Council) is statutorily created by Section 531.402 of the Government Code, to assist the Executive Commissioner of the Health and Human Services Commission (HHSC) in developing rules and policies for the Commission.
Section 1.2. The total number of Council members, eligibility for membership, terms of office, method of appointment, and method for filling vacancies shall be as set forth in Government Code Chapter 531, Subchapter K, or any successor law.
Article II – Conduct of Meetings and Parliamentary Authority
Section 2.1. The Council shall have a presiding officer (the Council Chair), who shall be designated by the governor and who serves at the pleasure of the governor; and the Council shall elect a Vice Chair, and shall elect other necessary officers, as specified in Government Code Section 531.407.
Section 2.2. A majority of the members of the Council constitute a quorum for the transaction of business, as provided in Government Code Section 531.402.
Section 2.3. The Council shall meet quarterly and at other times at the call of the presiding officer, as provided in Government Code Section 531.407.
Section 2.4. As specified in Government Code Section 531.402, the Council is subject to the Open Meetings Act, Chapter 551 of the Government Code, and shall comply with all applicable provisions of that Act.
Section 2.5. To the extent not superceded by the Open Meetings Act or any other applicable law, the Council shall conduct its meetings in accordance with Robert’s Rules of Order Newly Revised, 10th edition (Robert’s Rules), and by such Special Rules of Order as shall be deemed necessary and adopted by at least five Council members.
Section 2.6. Notwithstanding Robert’s Rules, the presiding officer of the Council shall be a voting member of the council.
Section 2.7. The General Counsel of HHSC shall serve as the Council’s parliamentarian.
Article III – Council Guidelines
Section 3.1. The Council agrees to be guided in its conduct by the Agency Council Guidelines, approved by the Health and Human Services.
